§ 01 · GENERAL TERMS AND CONDITIONS

Framework for mandates with AlpineReach.

These terms set the general framework for mandates with AlpineReach. The specific conditions of each mandate are agreed in writing in an individual mandate contract. In case of conflict between these terms and the mandate contract, the mandate contract prevails.

§ 02 · SCOPE

Who these terms apply to.

These terms apply to all private placement mandates that AlpineReach Solutions KLG enters into with business clients. They do not apply towards candidates; under applicable Swiss placement rules, their relationship with AlpineReach is free of charge.

§ 03 · SERVICE

What AlpineReach provides.

AlpineReach provides private placement services within the meaning of the Swiss Federal Act on Employment Services and the Hiring of Services (AVG), based on a cantonal licence from the Canton of Zurich dated 29 September 2023 and a federal licence for cross-border placement from SECO dated 6 October 2023.

The focus is on senior roles in the Microsoft Dynamics 365 ecosystem. Personnel leasing is not covered by these terms. Contracting is handled via a Swiss payroll partner; in that case the partner’s respective agreements apply additionally.

§ 04 · ENGAGEMENT MODELS

Three models, depending on the mandate.

AlpineReach works under three engagement models. The applicable model is set out in the mandate contract.

Contingency

The fee is payable only on successful placement and signature of the contract between candidate and client. The amount and calculation basis are defined in the mandate contract.

Retained

An agreed engagement fee is due at the start of the mandate; the remainder is due on signature of the contract between candidate and client. Amount, due dates, and offsetting are defined in the mandate contract.

Contracting

Provision of available freelance profiles on request. Compensation models and conditions are set per request; operational handling is via the payroll partner.

§ 05 · CLIENT COOPERATION

What we need from the client.

The client provides all information necessary for technical screening of candidates for the mandate. This includes role description, technical requirements, compensation range, location, engagement model, and points of contact.

The client undertakes to use presented candidates exclusively within the scope of the mandate and not to share profiles with third parties.

§ 06 · GUARANTEE

On request in the mandate contract.

A placement guarantee is not generally provided. On client request, a guarantee clause can be agreed in the mandate contract.

§ 07 · CONFIDENTIALITY

Mutual, including after the mandate.

Both parties treat all information received in connection with the mandate as confidential. This applies after the mandate ends. Personal information about candidates is used exclusively for the agreed purpose.

§ 08 · LIABILITY

Intent and gross negligence.

AlpineReach is liable for intent and gross negligence. Liability for ordinary negligence, indirect damages, lost profits, or consequential damages is excluded to the extent permitted by law. Otherwise liability is limited to the agreed fee for the respective mandate.

AlpineReach does not guarantee the continued tenure or performance of a placed candidate within the client’s organisation.

§ 09 · DATA PROTECTION

Reference to the privacy notice.

Personal data is processed in line with the privacy notice at alpinereach-solutions.com/en/privacy.

§ 10 · GOVERNING LAW AND JURISDICTION

Swiss law, jurisdiction Zurich.

Swiss law applies, with conflict-of-laws rules excluded, and with the UN Convention on Contracts for the International Sale of Goods (CISG) excluded.

Exclusive jurisdiction is Zurich, Switzerland. AlpineReach reserves the right to bring claims against the client at its registered seat.

§ 11 · CHANGES

How we update these terms.

AlpineReach may update these terms. For ongoing mandates, the version in force at the time the mandate was concluded applies.
